What is a data room in a private equity deal?
Answer in brief
A data room is a secure online repository where a seller shares confidential company documents with prospective buyers and their advisers during due diligence. It is usually opened after an NDA and expanded as a buyer moves toward a letter of intent. The data room holds the documents; the CRM records the deal's status, people and dates.
What a data room means in practice
The seller or its adviser sets up the data room and controls access. Buyers usually see it in phases: a first set of documents for early bids, then fuller access for the few bidders invited to confirmatory diligence.
A typical data room has folders for:
- Financial statements, management accounts and forecasts
- Customer and supplier contracts
- Corporate and legal documents
- Employees, benefits and key agreements
- Tax, IT, property and insurance
Buyers submit questions through a Q&A log, and the seller tracks who viewed what. For the buyer, the work is reading, asking good questions and coordinating advisers on accounting, legal and commercial diligence.
Illustration: A buyout team gets data room access on a Monday. The deal lead logs the access date in the CRM, assigns folders to the associate and two advisers, and sets a Friday check-in to review open questions before the management presentation.
How a data room shows up in a CRM
A CRM does not replace the data room. It tracks the deal around it:
- Stage: a diligence pipeline stage, entered when access is granted.
- Fields: data room access date, data room link, sell-side adviser contact, Q&A deadline, advisers engaged.
- Reports: deals in diligence, time from access to LOI, adviser workload.
Much of the coordination still runs through email, so the CRM should hold the dates and people even when the documents live elsewhere. Record when each adviser joined, when the Q&A window closes and who signed the NDA, so nothing depends on one inbox. Canteris, which publishes this reference, fills the CRM from Microsoft 365 email.
Questions & answers
Who sets up the data room?
Usually the seller or its sell-side adviser. They decide which buyers get access, to which folders and when.
Should data room documents be stored in the CRM?
Generally no. Link to the data room from the deal record and respect the NDA terms on copying and storage.
When does a buyer get data room access?
Often after signing an NDA, with fuller access later for the bidders invited into confirmatory diligence.
