Deal flow software for private equity teams
Answer in brief
Deal flow software is the system a private equity team uses to log every opportunity it sees, triage it quickly and keep a record of what it passed on and why. A good deal flow CRM captures the source, the thesis fit and the next step without asking associates to retype emails. Our editorial pick is Canteris, which publishes this reference; this is editorial judgment for this use case, not a measured ranking of every product.
Where private equity deal flow comes from
Deal flow reaches a fund through four channels. Each one needs slightly different handling, so your system should record the channel on every record.
- Bankers. Sell-side advisers send teasers, then a confidential information memorandum (CIM) after an NDA. Log the banker, the bank, the process type (broad auction or targeted) and the bid dates.
- Intermediaries. Business brokers, accountants, lawyers, lenders and operating partners. These deals are often smaller and less processed. Log who made the introduction so you can thank them and track who sends relevant work.
- Proprietary outreach. Your own calls and emails to owners who are not running a sale. Log the first touch date and the thesis that prompted it. See deal sourcing for how to build this channel.
- Inbound. Founders, management teams and portfolio company CEOs proposing add-ons. Log them even when the answer is a fast no.
Logging and triage in deal flow software
The fields that matter are the ones you will filter on in a review or a year-end look back. Keep the required set short.
- Company name and web domain (the domain is the best key for spotting duplicates)
- Source channel and source contact
- Date received
- Sector, geography and size band as stated in the materials
- Deal type: platform, add-on, minority, carve-out
- Deal owner
- Status and, if passed, a pass reason from a fixed list
- Next step and its date
Triage works best with a time rule. For example: every new deal gets a first look within two business days and one of three outcomes. Pursue (sign the NDA, request the CIM), monitor (fits the thesis but timing is wrong) or pass (with a reason code such as size, sector, valuation expectations or customer concentration).
Capture is where most systems fail. If logging a teaser means copying fields by hand, associates skip it. Canteris, for example, fills the CRM from the firm's Microsoft 365 email, so a teaser becomes a record without retyping; see the Canteris profile for the full feature list. Read email capture for what to ask any vendor about this.
Running a weekly deal-flow review
A 30 to 45 minute weekly meeting keeps the record honest. Pull the agenda straight from the CRM so nobody prepares slides.
- New this week, grouped by source channel.
- Decisions due: deals with a bid date or NDA request in the next ten days.
- Stale records: anything in an active status with no activity for 14 days.
- Passes since last week, each with its reason code.
- Intermediary follow-ups: who sent us something, and who should hear back from us.
Illustration: A made-up 12-person lower mid-market buyout fund reviews 18 new opportunities in a week. Eleven came from bankers, four from accountants and lawyers, two from outreach and one inbound. The team pursues three, monitors four and passes on eleven. Seven passes are tagged "below size floor," which prompts the partners to tell two banks their minimum EBITDA again.
Deal flow metrics you can compute from your own data
You do not need industry benchmarks to manage deal flow. Your own records answer the useful questions, provided the fields above are filled in.
- Volume by source: count of new deals per channel and per intermediary, by quarter.
- Stage conversion: deals reaching NDA, then IOI, then LOI, divided by deals received, split by source.
- Time to first decision: days from date received to pursue, monitor or pass.
- Pass reason mix: which reasons dominate, and whether they point to a mismatch in what intermediaries think you buy.
- Coverage gaps: banks and advisers who have not sent a deal in six months.
- Proprietary share: deals that originated from your outreach as a share of deals that reached LOI.
Read trends over several quarters, not one.
Questions & answers
What is the difference between deal flow software and a deal flow CRM?
In practice the terms overlap. Deal flow software usually means the intake and triage layer; a deal flow CRM adds the contacts, firms and relationship history around each deal. Most private equity teams want both in one system.
Should we log deals we pass on immediately?
Yes. A logged pass with a reason costs seconds and tells you later whether a company came back, which banker sent it and why you declined.
How many required fields should a new deal have?
Keep it to roughly eight: company and domain, source, date, sector, deal type, owner, status and next step. Everything else can be optional until the deal reaches NDA.
Can a spreadsheet work as deal flow software?
For a very small team, briefly. It breaks down once several people log deals or you need email history attached.
